Service Description and Subject of Contract
web-me.de Internet Service e.K. (hereinafter web-me.de) provides gateway functionality for sending and receiving messages via SMS, email and internet messaging with the product TeamMessage.de. The service of web-me.de includes the immediate forwarding of incoming messages to the operators of mobile networks and mail servers on behalf of a responsible client. The actual delivery of messages is beyond the control of web-me.de.
web-me.de commits to careful and confidential handling of all transmitted data. All data submitted during registration and use of the service will not be passed on to third parties. User data entered in TeamMessage.de mailing lists is used solely and exclusively for the purpose of forwarding messages from the team. Usage data is recorded in accordance with legal provisions only to the extent necessary for the smooth operation of the service.
The services provided by web-me.de are subject to the GDPR and BDSG (German Federal Data Protection Act) as well as the Telecommunications Act (TKG), the Digital Services Act (DDG) and the Telecommunications-Digital Services Data Protection Act (TDDDG) in their respective valid versions. The agreements set out at Data Processing Agreement (PDF) apply without further individual contractual arrangement. If required for your purposes, you may send us two copies of the contract completed for countersignature at any time.
Contract Duration
The contract covers recurring/continuous services. The contract is concluded for an indefinite period.
Right of Withdrawal
Consumers within the meaning of Section 13 of the German Civil Code (BGB) have the right to withdraw registration from our service within fourteen days without giving reasons. The withdrawal period is fourteen days from the day of conclusion of the contract.
To exercise the right of withdrawal, you must inform us (web-me.de Internet Service e.K., Merowingerstraße 6, D-78662 Bösingen, Germany, Email: info@teammessage.de) of your decision to withdraw from this contract by means of a clear declaration (e.g. a letter sent by post or email).
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Consequences of withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract.
The right of withdrawal expires for a contract for the provision of services if web-me.de has fully provided the service and only began execution of the service after the consumer gave express consent and at the same time confirmed knowledge that they lose their right of withdrawal upon complete contract fulfillment by web-me.de.
Right of Cancellation
Each contracting party has the right to cancel the contract with 2 weeks notice to the end of the month without giving reasons. The right to extraordinary cancellation for good cause, in particular repeated violation of main contractual obligations, remains unaffected.
In the prepaid tariffs EASY and PAUSCHAL, you can ignore incoming offers/invoices at your discretion, so that no further costs arise for you. In the PROFI tariff, we ask for a regular cancellation if you no longer need our services.
The cancellation is effective if made in writing by email to info@teammessage.de or by post to the above address, stating the customer number.
Costs and Tariffs
Costs apply for sending SMS. The prices published under "Tariffs and Prices" at the time of invoicing apply. These are usually very stable but may change due to SMS costs of network operators. If changes occur to the disadvantage of a customer, we grant each customer the right to immediate and extraordinary special cancellation insofar as costs change to the customer's disadvantage.
All prices include statutory VAT unless otherwise stated.
You can choose between different tariffs during registration and afterwards by informal request for tariff change. In the EASY tariff, costs only arise when the service is used. In the PAUSCHAL and PROFI tariffs, base fees are due regardless of the number of SMS sent. The amount of fees can be found in the current price list.
Base fees are due in advance but will be refunded proportionally upon cancellation.
SMS included in the PAUSCHAL tariff that are not used expire at the end of the payment period and cannot be carried over to the new payment period.
The customer bears all costs incurred to web-me.de through their misconduct in payment transactions. This includes, for example, chargebacks from credit card payments or direct debit procedures.
In the EASY and PAUSCHAL tariffs, SMS can only be sent if covered by advance payment.
The PAUSCHAL tariff can only be booked once per contracting party within the booked period.
The PROFI tariff is available for business customers upon proof of business registration.
Invoice Dispatch
Offers and invoices are sent by email and stored on our server in PDF format in an unalterable manner for a period of at least 10 years. The link to the printable PDF invoice can be found in the email, the invoice, the team overview page and the email confirming receipt of payment.
Postal invoice dispatch is included in the PROFI tariff unless otherwise agreed.
In other tariffs, postal invoice dispatch can be agreed if invoice amounts regularly exceed €50.
Payment Terms
The customer has the following payment options: bank transfer, direct debit and transfer via PayPal as payment service provider. In the PROFI tariff, the payment term is 14 days after dispatch of the invoice. In the EASY and PAUSCHAL tariffs, there is no payment obligation; however, activation of billed SMS only takes place after receipt of payment in our account.
Liability
web-me.de has unlimited liability for damages arising from injury to life, body or health as well as for intent and gross negligence.
In case of slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable, contract-typical damage. Material contractual obligations are those whose fulfillment enables the proper execution of the contract in the first place and on whose compliance the contractual partner may regularly rely.
Otherwise, liability for slight negligence is excluded.
The above limitations of liability also apply to vicarious agents of web-me.de.
No liability or warranty can be assumed for the availability of the service and the actual delivery of messages, as this depends on third parties (mobile network operators, mail server operators).
User Obligations
A one-time, free registration is required to use the services offered under TeamMessage.de. The data provided during registration will be verified and must correspond to the identity of the registrant. Incomplete or false information will lead to blocking of the account.
Multiple registrations of the same group under the same or other names for the purpose of using tariff advantages (PAUSCHAL tariff) or free SMS multiple times are not permitted. Such accounts can be terminated by TeamMessage.de and subsequently billed at EASY tariff conditions. Exceptions can be agreed in writing.
Sending a message is done at your own responsibility.
It is prohibited to send content relevant to criminal law as well as messages with sexual, racist or discriminatory references, advertising without the explicit prior consent of the recipient pursuant to Section 7 of the German Act Against Unfair Competition (UWG), or unsolicited bulk mailings (SPAM). The user of this service undertakes not to send threats or harassment. They are responsible for the content of their messages in accordance with general laws. web-me.de assumes no liability for the content of transmitted messages. In case of violation of any of the above standards, the originator of a message indemnifies web-me.de against any claims by third parties.
Emails with large attachments easily generate very high data traffic by sending to all email participants of the team lists. This data traffic incurs costs on our side. We reserve the right to reject emails with large attachments. In this case, the sender and team administrator will receive a message.
The use of TeamMessage.de for email mailing lists without SMS dispatch and thus free of charge is permitted. However, we reserve the right to block these accounts if the data load from the volume or size of emails negatively affects our system performance.
Changes to Terms
web-me.de reserves the right to change these terms with effect for the future. Changes will be communicated to the customer by email at least six weeks before they take effect. If the customer does not object within six weeks of receipt of the notification, the changes are deemed approved. The significance of silence will be pointed out in the change notification.

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
Jurisdiction and Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For disputes with merchants, legal entities under public law or special funds under public law, the place of jurisdiction is Rottweil, Germany.
Severability Clause
If individual provisions of the above business and usage conditions should be wholly or partially ineffective, the validity of the remaining usage conditions shall remain unaffected. The ineffective provision shall be deemed replaced by one which comes closest in a legally effective manner to the meaning and purpose of the ineffective provision in economic terms. The same applies to any regulatory gaps.
